By creating an account, or by accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
You must be at least 13 years of age to use the Services. If you are under 18, you must have your parent or legal guardian's permission to use the Services. By using our Services, you represent and warrant that you meet these requirements.
You are responsible for your conduct and your content when using our Services. You agree to use our Services only for lawful purposes and in a manner that does not infringe on the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. To access certain features, you must create an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
You are responsible for the content you create and submit to the Services, including text, data, and the personas you develop ("User Content").
Your Rights: You retain ownership of your User Content, including the personas, Flows, and prompts you create.
AI-Generated Output Ownership: Content generated by AI models through our Services ("AI Output") is provided to you for your use. However, you acknowledge that: (a) similar or identical AI Output may be generated for other users who provide similar inputs; (b) AI Output may not be eligible for copyright protection in all jurisdictions; (c) we make no representations regarding the intellectual property status of AI Output; and (d) you are solely responsible for determining the legality of using AI Output for your intended purposes.
License to PersonifAI: By submitting User Content to the Services, you grant PersonifAI a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating and providing the Services to you and to our other users. This license is necessary for us to, for example, store your personas and make them accessible to you.
Co-Creation Community: One of the core aspects of PersonifAI is our co-creation community. By participating, you acknowledge that certain User Content may be made available to other users to view, use, or build upon, based on the functionalities of the Services.
Third-Party Rights: You represent and warrant that you have all necessary rights to submit your User Content and that your User Content does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
Excluding your User Content, all aspects of the Services, including the website, text, graphics, logos, icons, images, software, and the underlying technology and AI models, are the exclusive property of PersonifAI and its licensors. You agree not to use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, or otherwise exploit the Services or its content, except as expressly permitted in these Terms.
The Services utilize artificial intelligence to generate content, including text, images, audio, and video. By using these features, you acknowledge and agree to the following:
No Guarantee of Accuracy: AI-generated content may contain errors, inaccuracies, "hallucinations" (fabricated information presented as fact), biases, or misleading information. AI models may generate content that appears authoritative but is factually incorrect. PersonifAI makes no warranties about the reliability, accuracy, completeness, or suitability of AI-generated content for any purpose.
Not Professional Advice: AI-generated content does not constitute professional advice of any kind, including but not limited to legal, medical, financial, psychological, or therapeutic advice. You should never rely on AI Output as a substitute for consultation with qualified professionals. Do not use our Services for medical diagnosis, treatment decisions, legal guidance, or financial planning.
Not for Emergency Use: Our Services are not designed or intended for use in emergencies. If you are experiencing a medical emergency, mental health crisis, or any other urgent situation, contact appropriate emergency services immediately.
Assumption of Risk: You assume all risk associated with your use of AI-generated content. You are solely responsible for: (a) reviewing and validating any AI Output before use or reliance; (b) determining the appropriateness of AI Output for your intended purposes; (c) any decisions or actions you take based on AI Output; and (d) any consequences resulting from your use or distribution of AI Output.
Emotional and Social Limitations: AI personas and characters are simulated entities. They do not have genuine emotions, consciousness, or the capacity for real relationships. Users should not develop emotional dependency on AI interactions or use the Services as a replacement for human connection, professional mental health support, or therapeutic relationships.
PersonifAI utilizes third-party AI service providers, including but not limited to OpenAI, Google (Gemini), and Anthropic (Claude), to power various features of our Services. By using our Services, you acknowledge and agree to the following:
Third-Party Terms: Your use of features powered by third-party AI providers may be subject to those providers' terms of service, usage policies, and acceptable use policies. We encourage you to review the terms of our AI providers. PersonifAI is not responsible for changes to third-party policies or services.
Content Moderation: Third-party AI providers implement their own content moderation and safety measures. Content that violates their policies may be blocked, filtered, or flagged regardless of PersonifAI's own policies. We rely on these providers' safety standards and cannot guarantee that their moderation will align perfectly with user expectations.
Service Availability: The availability, capabilities, and behavior of third-party AI services are outside PersonifAI's control. These services may change, be discontinued, or experience outages without notice. PersonifAI is not liable for any disruption, modification, or discontinuation of third-party AI services.
Data Processing: When you use our Services, your inputs and prompts may be processed by third-party AI providers according to their respective privacy policies and data handling practices. Please refer to our Privacy Policy for more information about how data is handled.
No Endorsement: PersonifAI's use of third-party AI providers does not constitute an endorsement of those providers, and those providers do not endorse PersonifAI. We are an independent service that integrates these tools to provide value to our users.
PersonifAI allows users to create AI personas and run simulations. You acknowledge and agree to the following:
Fictional Nature: AI personas are fictional constructs generated by artificial intelligence. They are not real people and do not possess consciousness, sentience, emotions, or independent thoughts. Any appearance of personality, emotion, or opinion is simulated.
Simulation Accuracy: Simulations and multi-agent interactions are computational exercises. They do not accurately predict real-world outcomes, human behavior, market conditions, or any other real-world phenomena. Simulation results should not be used as the basis for business decisions, research conclusions, or real-world predictions without independent validation.
User Responsibility: You are solely responsible for: (a) the personas you create and how they are used; (b) ensuring personas do not violate the rights of real individuals; (c) any content generated by or through your personas; and (d) how you interpret, use, or act upon simulation results.
No Real-World Representation: Personas should not be created to represent real individuals without their consent. Creating personas of public figures, celebrities, or private individuals for purposes of defamation, harassment, or impersonation is strictly prohibited.
Some features of the Services may require payment or a subscription. By choosing a paid plan, you agree to pay all applicable fees as described during the checkout process. All fees are non-refundable except as required by law. We reserve the right to change our subscription plans or pricing, and we will provide you with reasonable notice of any such changes. For B2B strategic partnerships, payment terms will be governed by a separate Master Services Agreement (MSA).
By clicking "I Accept," creating an account, or using the Services, you acknowledge that you have read and understood these Terms, our Child Safety Standards, and our Privacy Policy. You further acknowledge that AI-generated content may be inaccurate, biased, or inappropriate, and that you will review all outputs before use or reliance. You understand that AI personas are simulated entities that should not be relied upon for emotional support, professional advice, or real-world decision-making. You acknowledge that third-party AI providers power our Services and may have their own content policies that affect service behavior. You assume all risk for how you use AI-generated content and simulation results, and you are solely responsible for ensuring your use of the Services complies with applicable laws in your jurisdiction. You acknowledge that PersonifAI may modify, suspend, or discontinue features or the entire Service at any time.
Service Changes: PersonifAI reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. This includes changes to features, functionality, AI models used, pricing, and availability. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
No Guaranteed Uptime: While we strive to maintain reliable service, we do not guarantee uninterrupted access to the Services. The Services may be unavailable due to maintenance, updates, technical issues, or factors beyond our control.
Feature Deprecation: We may deprecate or remove features, AI models, or integrations at any time. We will make reasonable efforts to provide advance notice for significant changes when practicable.
We may terminate or suspend your access to the Services, without prior notice or liability, for any reason, including if you breach these Terms. You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Services will immediately cease.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PERSONIFAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
PERSONIFAI DISCLAIMS ALL LIABILITY FOR THE ACTIONS, OUTPUTS, OR FAILURES OF THIRD-PARTY AI PROVIDERS, INCLUDING BUT NOT LIMITED TO OPENAI, GOOGLE, AND ANTHROPIC. WE DO NOT CONTROL THESE PROVIDERS' SERVICES AND CANNOT GUARANTEE THEIR AVAILABILITY, ACCURACY, OR COMPLIANCE WITH ANY PARTICULAR STANDARD.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERSONIFAI, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL PERSONIFAI’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID PERSONIFAI, IF ANY, IN THE LAST 12 MONTHS.
You agree to defend, indemnify, and hold harmless PersonifAI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use of and access to the Service, or from your violation of these Terms.
Governing Law: These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.
Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@personifai.net to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If a dispute is not resolved within 30 days of submission, either party may proceed with formal dispute resolution.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by JAMS pursuant to its Streamlined Arbitration Rules and Procedures. The arbitration shall be held in Bristol County, Massachusetts, or at another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment on the award rendered may be entered in any court having jurisdiction thereof.
Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PERSONIFAI AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND THAT NEITHER YOU NOR PERSONIFAI WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, A PRIVATE ATTORNEY-GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH YOU OR PERSONIFAI ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. You and PersonifAI further agree that no arbitration or proceeding will be joined, consolidated, or combined with another arbitration or proceeding without the prior written consent of all parties.
Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm. Claims related to intellectual property infringement or misappropriation may be brought in the federal or state courts located in Bristol County, Massachusetts, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
Small Claims: Either party may bring an individual action in small claims court for disputes within the jurisdiction of such court.
Primary Market: The Services are primarily intended for users in the United States. PersonifAI makes no representation that the Services are appropriate or available for use in other locations.
Access from Other Jurisdictions: If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws. You acknowledge that certain features may not be available or may function differently in your jurisdiction due to regulatory requirements or third-party AI provider restrictions.
Data Transfer: By using the Services, you consent to the transfer of your data to the United States, where data protection laws may differ from those in your jurisdiction. We will handle your data in accordance with our Privacy Policy.
Local Law Compliance: You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations in your jurisdiction, including but not limited to data protection, consumer protection, and AI-related regulations.
PersonifAI shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic or epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of third-party AI providers or other technology providers, internet or telecommunications failures, cyberattacks, government actions, or any other event beyond our reasonable control. During such events, PersonifAI's obligations under these Terms shall be suspended for the duration of the event.
Entire Agreement: These Terms constitute the entire agreement between you and PersonifAI concerning the Services and supersede all prior agreements.
Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
No Waiver: The failure of PersonifAI to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by PersonifAI.
Assignment: You may not assign or transfer these Terms or your rights hereunder without PersonifAI's prior written consent. PersonifAI may assign these Terms without restriction.
